1. Defined Terms

7. User Content

• Your content does not infringe third-party rights

You grant Marbella Company a non-exclusive, worldwide, royalty-free license to use submitted content solely for purposes of operating and providing the Services.

8. Payments and Fees

Certain Services may require payment. Users agree to:

• Comply with payment processor requirements

Unless otherwise stated in a separate written agreement, fees are non-refundable to the fullest extent permitted by California law.

10. Disclaimer of Warranties

To the maximum extent permitted under California law, Marbella Company and Polero, LLC disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure.

11. Limitation of Liability

To the maximum extent permitted by California law, Marbella Company, Polero, LLC, their officers, employees, agents, affiliates, and licensors shall not be liable for indirect, incidental, special, consequential, or punitive damages.

The total liability of the Company for any claim arising out of or related to the Services shall not exceed the amount paid by the User for the Services during the twelve (12) months preceding the claim.

12. Indemnification

You agree to defend, indemnify, and hold harmless Marbella Company, Polero, LLC, their affiliates, officers, directors, employees, contractors, and agents from claims, damages, liabilities, costs, and expenses arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of law
• Your infringement of third-party rights

13. Suspension and Termination

We may suspend or terminate access to the Services at any time if:

• You violate these Terms
• We suspect unlawful activity
• Required by law
• Necessary to protect the Services or users

Termination does not affect accrued rights or obligations.

14. Governing Law

These Terms shall be governed by and construed under the laws of the State of California.

Any dispute arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the state and federal courts located within California.

These Terms shall be interpreted consistent with applicable California statutes and regulations.

15. Changes to Terms

We reserve the right to modify these Terms at any time.

Updated Terms become effective upon posting. Continued use of the Services constitutes acceptance of the revised Terms.
